1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you," "User"), and Agora Corp ("Agora," "we," "us," or "our"), a corporation organized under the laws of the State of Delaware. These Terms govern your access to and use of the Agora platform, including any media form, channel, mobile website, or mobile application related thereto (collectively, the "Services").

2. Platform Usage and Security

Agora provides Governance Intelligence and Strategic Engagement Infrastructure. By utilizing the Services, you agree to:

• Maintain the strictest confidentiality regarding your account credentials.
• Ensure that any intelligence, field data, or stakeholder mapping inputted into the system complies with applicable local and international laws.
• Not attempt to bypass, circumvent, or disable any zero-trust security architecture, encryption protocols, or SOC 2 configurations deployed by Agora.

3. Intellectual Property Rights

Unless otherwise indicated, the Services are our proprietary property. All source code, databases, functionality, software, website designs, audio, video, text, photographs, and graphics on the Services (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws. User-generated field intelligence remains the exclusive property of the originating organization.

4. Limitation of Liability

In no event will Agora Corp, its directors, employees, or agents be liable to you or any third party for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages, including lost profit, lost revenue, loss of data, or other damages arising from your use of the Services, even if Agora has been advised of the possibility of such damages. The platform is provided on an "as-is" basis for use in volatile governance environments.

5. Governing Law and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of the State of Delaware applicable to agreements made and to be entirely performed within the State of Delaware, without regard to its conflict of law principles. Any legal action of whatever nature brought by either you or us shall be commenced or prosecuted in the state and federal courts located in Kent County, Delaware, and the parties hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.
